1. Acceptance of Terms

By accessing or using Export Sequence ("the Service," "we," "our," or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Export Sequence is a web application that enables Outreach customers to export their sequence content as professionally formatted PDF or DOCX documents. The Service integrates with Outreach's API through OAuth authentication to access and export your sequence data.

2.1 No Affiliation with Outreach

IMPORTANT: Export Sequence is an independent application and is not affiliated with, endorsed by, or sponsored by Outreach Corporation. Outreach is a trademark of Outreach Corporation. We are not responsible for Outreach's services, policies, or actions.

2.2 Free Service

The Service is provided free of charge. You acknowledge that we have no liability arising from your use of a free service, and that the Service may be experimental and may contain bugs or errors.

3. Eligibility

You must meet the following requirements to use the Service:

You must be at least 18 years old.
You must have a valid Outreach account.
You must have the authority to bind yourself or your organization to these Terms.
You must comply with all applicable laws and regulations.
The Service is offered only for business use. You represent that you are not acting as a consumer.

4. Account and Authentication

4.1 OAuth Authentication

The Service uses Outreach's OAuth 2.0 authentication system.
By authenticating, you grant Export Sequence permission to access your Outreach account data as specified in the OAuth scopes.
You are responsible for reviewing and approving OAuth permissions granted to the Service. We are not responsible for permissions you authorize or any consequences resulting from such authorization.
You are responsible for maintaining the confidentiality of your Outreach account credentials.
You must immediately notify us if you become aware of any unauthorized use of your account.

4.2 Required Permissions

The Service requires the following Outreach API permissions:

sequences.read - To read sequence metadata
sequenceSteps.read - To read sequence step details
sequenceTemplates.read - To read sequence template relationships
templates.read - To read template content

You can revoke these permissions at any time through your Outreach account settings.

5. Acceptable Use

5.1 Permitted Use

You may use the Service to:

Export your own Outreach sequences as PDF or DOCX documents
Share exported documents with authorized stakeholders
Archive sequence content for compliance and documentation purposes

5.2 Prohibited Use

You agree NOT to:

Use the Service for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers
Use automated systems (bots, scrapers) to access the Service without permission
Export sequences that you do not have permission to access
Share exported documents containing confidential or proprietary information in violation of applicable agreements
Reverse engineer, decompile, or disassemble the Service
Use the Service to compete with or harm Outreach or Export Sequence
Benchmark, performance test, or conduct competitive analysis of the Service without our prior written consent

6. Intellectual Property

6.1 Service Ownership

The Service, including its software, design, features, and content, is owned by Export Sequence and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of your sequence data and exported documents.
By using the Service, you grant us a limited license to access and process your sequence data solely for the purpose of providing the export functionality.
We do not claim ownership of your exported documents or sequence content.

6.3 Outreach Content

Your sequence data is subject to Outreach's Terms of Service and intellectual property rights. Export Sequence does not claim ownership of Outreach content.

6.4 Trademark and Brand Usage

You may not use Export Sequence's name, logo, or trademarks without our prior written permission.
You may not imply endorsement by Outreach or any third party when using or referencing Export Sequence.
You may not use Outreach's trademarks in a manner that suggests Export Sequence is affiliated with or endorsed by Outreach.

7. Service Availability and Modifications

7.1 Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.
The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue the Service at any time.
We make no commitment to maintain or continue the Service, and it may be discontinued at any time without notice.

7.2 Changes to Service

We may modify, update, or change the Service, including features, functionality, and these Terms, at our discretion. Material changes will be communicated through the Service or via email.

8. Export Documents

8.1 Document Generation

Export documents are generated based on data retrieved from your Outreach account at the time of export.
Export documents may contain errors, omissions, or formatting issues.
We do not guarantee the accuracy, completeness, or formatting of exported documents.
You are responsible for verifying the content of exported documents before use.

8.2 Export Content Disclaimer (CRITICAL)

Export Sequence does not review, monitor, or control the content exported through the Service. You are solely responsible for:

Ensuring compliance with applicable laws, confidentiality obligations, and company policies
Verifying that exported content does not contain confidential information, customer PII, or regulated data that should not be exported
Ensuring you have the right to export and use such data
Any consequences resulting from exporting, sharing, or using exported documents

We are not responsible for any legal, regulatory, or business consequences resulting from the content you export or how you use exported documents.

8.3 Document Responsibility

You are solely responsible for how you use exported documents.
You must ensure that sharing or distributing exported documents complies with applicable laws, regulations, and agreements.
We are not responsible for any consequences resulting from your use of exported documents.
Once generated and delivered, you are responsible for storing and securing exported documents. We are not responsible for access to or disclosure of exported documents after delivery.

9. Disclaimers

9.1 Use at Your Own Risk

YOU USE THE SERVICE AT YOUR OWN RISK. You are solely responsible for any consequences resulting from your use of the Service or exported documents.

9.2 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY

9.3 No Guarantees

We do not guarantee that:

The Service will meet your requirements
The Service will be uninterrupted, timely, secure, or error-free
Results obtained from the Service will be accurate or reliable
Defects or errors will be corrected

9.4 Data Processing Disclaimer

The Service processes Outreach data solely to generate export documents. We process data solely to provide the Service and do not determine the purposes or means of processing your Outreach data. We:

Do not control the content of your Outreach data
Are not responsible for its accuracy, legality, or use
We do not store, retain, or persist your Outreach sequence data. Sequence data is accessed temporarily in memory solely to generate export documents and is immediately discarded after processing.
Are not responsible for data loss, leaks, or misuse beyond our reasonable control
You are solely responsible for ensuring you have the right to export and use such data
The Service has read-only access to your Outreach data and does not modify, delete, or alter your Outreach records.
The Service can only access data that you are authorized to access through your Outreach account and OAuth permissions.
The Service cannot access data beyond the permissions granted by Outreach's authorization system.
We do not have the ability to change your Outreach data or bypass Outreach's security or permission controls.

9.5 Security Disclaimer

While we implement reasonable safeguards, no system can be guaranteed completely secure. You acknowledge and accept the inherent security risks of transmitting data over the internet. We are not liable for unauthorized access resulting from:

User actions (e.g., sharing credentials, phishing)
Third-party breaches (e.g., Outreach security incidents)
Circumstances beyond our reasonable control

9.6 Data Loss Disclaimer

We are not responsible for loss, corruption, or deletion of data, including:

Data loss during export processing
Loss of exported documents
Data corruption in exported files
Deletion of data from your Outreach account (which we do not modify)

9.7 No Professional Advice

The Service does not provide legal, compliance, or business advice. Export Sequence is a technical tool for exporting data. You are responsible for:

Determining whether exports comply with applicable laws and regulations
Ensuring compliance with confidentiality obligations
Obtaining appropriate legal or compliance advice when needed

9.8 Third-Party Services

The Service depends on Outreach's API and other third-party services. We are not responsible for:

The availability or performance of Outreach's services
Changes to Outreach's API that may affect the Service
Any issues arising from third-party service outages or changes

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED FREE OF CHARGE AND "AS IS," AND WE SHALL HAVE NO LIABILITY FOR ANY DAMAGES ARISING FROM OR RELATED TO THE SERVICE OR YOUR USE OF IT.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
If any liability is found notwithstanding the foregoing, our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim (or $100 if you haven't paid anything).
WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM:
- USE OR INABILITY TO USE THE SERVICE
- UNAUTHORIZED ACCESS TO YOUR DATA (including unauthorized access resulting from user actions, third-party breaches, or circumstances beyond our control)
- ERRORS OR OMISSIONS IN EXPORTED DOCUMENTS
- THIRD-PARTY ACTIONS OR SERVICES
- DATA LOSS, CORRUPTION, OR DELETION
- EXPORTED CONTENT OR ITS USE

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Export Sequence, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your exported documents or their use
Claims arising from your data, exported content, or use of Outreach integrations

Indemnification Procedure: We will have the right to control the defense and settlement of any claim subject to indemnification. You must cooperate with us in the defense and settlement of such claims. You may not settle any claim that admits our fault or liability without our prior written consent.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our Privacy Policy.

13. Termination

13.1 Termination by You

You may stop using the Service at any time by:

Logging out of the Service
Revoking OAuth access through your Outreach account settings
Requesting account deletion

13.2 Termination by Us

We may suspend or block access at our sole discretion, with or without notice. We may suspend or terminate your access to the Service immediately if:

You violate these Terms
You engage in fraudulent or illegal activity
We are required to do so by law
We discontinue the Service
We determine, in our sole discretion, that your use poses a risk to the Service or other users

13.3 Effect of Termination

Upon termination:

Your right to use the Service will immediately cease
We may delete your account and data (subject to our Privacy Policy)
Provisions that by their nature should survive will remain in effect

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

14.2 Jurisdiction and Venue

Courts of the Czech Republic shall have exclusive jurisdiction, and venue shall be Prague, unless mandatory law provides otherwise.

14.3 Dispute Resolution Process

Any disputes arising from these Terms or the Service shall be resolved through:

Good Faith Negotiation: Parties will attempt to resolve disputes through direct communication
Mediation: If negotiation fails, disputes may be resolved through mediation
Arbitration or Litigation: As specified by applicable law

To the extent permitted by law, disputes must be brought individually and not as part of a class action.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Export Sequence regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.

15.6 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free right to use, modify, and incorporate such feedback without restriction or compensation to you.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Changes to these Terms are effective upon posting to the Service, and the "Last Updated" date will be revised accordingly. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
